These Terms of Service ("Terms") engage the sale of goods by Docman Laboratories ("Seller") to the purchasing entity ("Buyer") identified in the applicable Proforma Invoice or Purchase Order. By placing an order, the Buyer agrees to be bound by these Terms.
Docman Laboratories operates exclusively as a Business-to-Business (B2B) wholesale supplier of pharmaceutical and medical products. We do not sell directly to consumers. All Buyers must be validly registered business entities or healthcare institutions authorized to import and distribute medical products.
All orders are subject to acceptance by the Seller. A contract is formed only when the Seller issues a written Proforma Invoice or Sales Confirmation. Any additional or conflicting terms in the Buyer's Purchase Order are hereby rejected unless expressly agreed to in writing by the Seller.
Shipment dates are estimates only. Seller is not liable for delays caused by force majeure, carrier delays, or customs clearance issues. Risk of loss or damage to goods passes to the Buyer in accordance with the agreed Incoterms.
The Buyer is solely responsible for ensuring that the products ordered comply with all local laws and regulations of the destination country. This includes:
Product specifications are subject to change. While we aim for accuracy, we do not warrant that product descriptions are error-free. The Buyer must verify that the product specifications meet their requirements before ordering.
To the maximum extent permitted by law, Seller's liability for any claim arising out of the sale of goods shall not exceed the purchase price of the goods. Seller shall not be liable for indirect, consequential, or special damages, including lost profits.
These Terms shall be governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be settled by arbitration in New Delhi, India.
